1. Introduction
These Terms govern services provided by Stratex Consulting sp. z o.o., trading as DaisyLink, to Corporate Clients. DaisyLink converts cleared fiat funds, received from a regulated acquiring partner, into stablecoin or other agreed virtual assets and remits them to a designated settlement address. DaisyLink does not onboard or contract directly with retail users. While retail users may originate the instruction leading to conversion, DaisyLink performs this service solely for the Corporate Client and only after cleared fiat is received from the acquiring partner. No relationship is created between DaisyLink and retail users.
2. Parties and Status
The service provider is Stratex Consulting sp. z o.o. The Corporate Client is the legal entity onboarded by DaisyLink. Retail users of the Corporate Client are not clients of DaisyLink.
3. Description of Services
The acquiring partner receives fiat from retail users and processes payments. After cleared fiat is provided to DaisyLink, it performs conversion execution and remits virtual assets to designated settlement addresses. Service parameters and pricing are defined in the Commercial Terms.
4. No Retail Relationship
DaisyLink provides services only to Corporate Clients. Retail users must not contact DaisyLink directly.
5. Regulatory Framework
DaisyLink operates as a Virtual Asset Service Provider under Polish law and aligns documentation with MiCA concepts without extending obligations beyond applicable law.
6. AML and Sanctions
DaisyLink applies AML, CTF and sanctions measures, including onboarding checks, monitoring and screening. Clients remain responsible for due diligence on their own users.
7. No Custody of Client Money
DaisyLink does not receive or hold fiat funds of retail users. Fiat is controlled by the acquiring partner. DaisyLink receives value only for conversion and settlement.
8. Designated Settlement Addresses
DaisyLink may assign settlement addresses for operational purposes. These addresses are treated as belonging to the Corporate Client for economic purposes.
9. Fees
Fees are applied as agreed in the Commercial Terms.
10. Risks
Virtual assets carry operational, regulatory and technological risks. The Corporate Client must assess suitability.
11. Liability
DaisyLink is not liable for indirect loss or delays caused by third parties. Liability is capped as defined in the Commercial Terms.
12. Term and Termination
These Terms apply while Commercial Terms remain active. Either party may terminate under agreed conditions.
13. Governing Law
These Terms are governed by Polish law, with exclusive jurisdiction of Polish courts. -

2. Stablecoin and Virtual Asset
Risks Stablecoins may lose value, de-peg or face liquidity or issuer risk. 3. Technology and Operational Risks Blockchain networks may fail, become congested or suffer vulnerabilities.
4. Execution and Settlement Risks
Delays may occur due to acquiring partners, liquidity constraints or network issues.
5. Counterparty Risks
Service depends on third-party systems, banks and networks.
6. No Retail Relationship
Retail users may originate instructions, but DaisyLink acts only for the Corporate Client after cleared fiat is received. No relationship exists between DaisyLink and retail users.
7. No Advice
DaisyLink provides no investment or legal advice.
8. Shared Risk Management
Clients must apply their own safeguards and assessments. -

2. System Security
Controls include restricted access, role-based permissions, change management and monitoring.
3. Data Security

Payment credentials are handled exclusively by the acquiring partner.
5. Incident Response
DaisyLink investigates incidents and notifies clients where legally required.
6. Shared Responsibilities

Prohibited Jurisdictions

1. General Principle
DaisyLink will not provide services where prohibited by law, sanctions or regulatory obligations.
2. Restricted Jurisdictions
DaisyLink does not operate in jurisdictions where virtual asset services are prohibited or require licensing DaisyLink does not hold.
3. Corporate Client Obligations
Clients must ensure compliance with sanctions and legal requirements.
4. Right to Decline or Terminate
DaisyLink may decline or terminate relationships presenting unacceptable risk. -

2. Business Model
DaisyLink does not onboard or contract directly with retail users. Retail users may originate an instruction leading to conversion, but DaisyLink acts solely for the Corporate Client and only after cleared fiat is received from the regulated acquiring partner.
3. Customer Due Diligence
DaisyLink performs KYB checks. The Corporate Client is responsible for CDD on its end users.
4. Monitoring and Sanctions
DaisyLink monitors transactions and may block or delay activity where required.
5. Prohibited Activity
DaisyLink does not support unlawful or sanctioned activity.
6. Cooperation with Authorities DaisyLink cooperates with authorities where required by law.
